Section 1.07.
Board of Directors. All actions of the
Association shall be taken on its behalf by the Board of Directors
("Board") and officers, except when a vote of the Members is
specifically required by this Declaration, the Association's Articles of
Incorporation or its Bylaws before any action may be taken. The Board shall
take reasonable steps in making nominations to fill vacancies to cause the
Board to be composed as nearly as practicable (giving due consideration to the
availability of persons willing to serve on the Board) of members owning Villas
Lots and Remington Lots in the same proportion as the number of such Lots
covered by the Villas Covenants and by the Declaration of Covenants,
Conditions, and Restrictions of Remington Place, which covers the Remington
Lots (hereinafter the "Remington Covenants"), each as amended from
time to time. To avoid confusion, if, for example, there are sixty percent
(60%) Villas Lots and forty percent (40%) Remington Lots, the Board shall take
reasonable steps to insure that the Board is composed as nearly as practicable
of sixty percent (60%) members owning a Villas Lot and forty percent (40%)
owning a Remington Lot. Such reasonable steps may include, but will not be
limited to and will not require, designating Villas Board positions and
Remington Board positions.
